These terms apply to everyone who submits the contact form of Lumilinks inc. ("we" or "us").
1. Application and Agreement
By checking "I have read and agree to the Special Terms for Sales Solicitations" and submitting the form, you agree to these terms. If you submit the form on behalf of a company or other organization, you are treated as agreeing on its behalf.
2. What Counts as Sales Solicitation
A "sales solicitation" is a message whose main purpose is to encourage us to buy, contract for, use, list with, or advertise with a product or service. Examples include:
- Offers of outsourced web production, system development, SEO, ad management, or social media management
- Invitations to buy ad space, media listings, exhibition booths, or sponsorships
- Pitches for recruitment agencies, staffing, job boards, sales outsourcing, or offshore development
- Pitches for fundraising, investment, M&A, or grant application services
- Messages aimed at getting a sales meeting or appointment
The following are not sales solicitations:
- Requests or consultations about work for us, and interview or speaking requests
- Questions about our services or projects
- Replies to quotes or proposals we asked for, and messages from people we are already working with
A message framed as a request or question is still a sales solicitation if its real purpose is to sell. We decide whether a message is a sales solicitation based on its content, and we will tell you the reason when we send an invoice.
3. Prohibition and Fee
Sales solicitations through our contact form are prohibited. If you send one anyway, you agree to pay us JPY 100,000 per message (no consumption tax added). Each submission counts as one message, even if the content is the same.
4. Invoicing and Payment
We will email an invoice to the address you entered in the form. Payment is due on the later of the last day of the month following the month we received your message, or 14 days after we send the invoice. You will pay by bank transfer to the account stated on the invoice, and you will bear any transfer fees.
5. Withdrawal and Oversight
Withdrawing a message after sending it for your own reasons, or agreeing without reading these terms, does not remove the obligation to pay. This does not limit any right of cancellation you have under the Consumer Contract Act or other laws.
6. Records, Governing Law, and Jurisdiction
We record the content and time of each submission and whether these terms were agreed to, and use these records as the basis for invoicing. These terms are governed by the laws of Japan, and the Tokyo District Court has exclusive jurisdiction in the first instance over any dispute relating to them.
These terms are a translation of the Japanese original. If there is any discrepancy, the Japanese version prevails.
